📋 Eligibility to Register a Public Limited Company in India

A "Producer" refers to any person undertaking an activity connected with or in relation to any primary produce. These include: * Farmers * Milk producers * Fishermen* Beekeepers * Forest gatherers * Artisans * Weavers * Agriculturists They have to be engaged in either production, harvesting, procurement, grading, pooling, handling, or marketing of agricultural or other primary produce.

✅ 3. Minimum Number of Members Required

To form a Producer Company: * Minimum 10 individual producers, or * Minimum 2 producer institutions, or A combination of *both** can apply. There is no limit on the number of members.

✅ **4. Minimum and Maximum Number of Directors A Producer Company should have a minimum of *5 directors**. It can have up to *15 directors**.

✅ 5. Nature of Producer Company – Private or Public?

Although the name ends in "Producer Company Limited", it is regarded as a Private Limited Company under the Companies Act. It *cannot be classified as a public company**.

It is *regulated by special provisions** (Part IXA of Companies Act, 1956).

✅ 6. Producer Company's Capital and Shareholding Structure

Producer Companies are *limited by share capital**. * Members (i.e., producers) only can hold shares. * Non-producers or external investors cannot hold shares. * Profit is shared among members in the following ways: * Bonus Shares, and * Patronage Bonus to the members based on their participation.

✅ 5. Digital Signature Certificate (DSC)

* Required for every proposed director ( Class 3 DSC)

✅ 6. Director Identification Number (DIN)

Filed through the *SPICe+ form** if not already assigned

✅ 7. Registered Office Proof

To be furnished at the time of incorporation or within 30 days: * Rent Agreement (if rented) or Ownership Document * Latest Electricity Bill / Water Bill / Gas Bill * NOC from owner/landlord (if rented)

✅ 8. Company Documents

* Memorandum of Association (MOA) – declaring producer aims

* Articles of Association (AOA) – laying down governance provisions

✅ 9. Declarations and Consents

* Form INC-9: Declaration by subscribers and first directors * Form DIR-2: Consent to be a director * Self-declaration that the individual is not disqualified under Companies Act

✅ 10. In Case of Producer Institutions as Members

(If any member is a registered producer institution) * Certificate of Incorporation of institution * Board Resolution to invest in Producer Company * ID & address proof of authorized representative

* Proof that institution is a "producer institution" (such as farmer cooperative)
